Terms and Conditions

Effective date: October 9, 2026

These Terms and Conditions (“Terms”) govern the NCLI.com website, NCLI newsletters, and the free and paid membership services provided by National Center for Legal Integrity LLC (“NCLI,” “we,” “us,” or “our”). Together, these are the “Services.”

Please read these Terms before subscribing or purchasing a membership. By affirmatively accepting these Terms during signup or checkout, you agree to them. Where legally enforceable, your use of the Services after receiving conspicuous notice of these Terms also constitutes acceptance. If you do not agree, do not register for or purchase the Services.

Paid memberships renew automatically at the end of each billing period, monthly or annually as selected at checkout, until canceled. You may cancel at any time to stop the next renewal. Payments already processed are nonrefundable except as required by law or expressly provided below.

1. About NCLI and the scope of these Terms

NCLI provides information, commentary, education, and advocacy concerning the legal system and legal reform. NCLI is a privately operated limited liability company. It is not a government agency, court, bar association, or law firm.

Our launch Services include newsletters, informational website content, and free and paid memberships. References to a future database, document submission service, attorney network, or other planned initiative describe development goals unless expressly identified as available.

At launch, we do not accept demand letters, lawsuit documents, incident reports, or other legal case files through a database or upload service. Such services, if introduced, may require additional terms, privacy notices, and eligibility requirements. These Terms do not authorize uploads of confidential legal materials.

Specific terms clearly presented for a particular offer may supplement these Terms. If they conflict, the specific terms control for that offer only. Nothing in these Terms limits rights that applicable law does not permit you to waive.

2. Eligibility and account responsibility

Our membership and subscription Services are intended for adults aged 18 or older who can enter into a binding agreement. We currently direct the Services to users in the United States.

Provide accurate contact and billing information and keep it current. You are responsible for safeguarding your account credentials and access links. Notify us promptly if you suspect unauthorized access. You are responsible for activity you authorize through your account, subject to applicable law; these Terms do not make you automatically responsible for fraud or unauthorized charges.

If you register or purchase on behalf of a business, you represent that you have authority to bind it. The word “member” refers to a subscriber or supporter; membership does not create ownership, voting rights, an investment interest, a partnership, employment, or authority to act for NCLI.

3. Educational content and legal advice

NCLI does not provide legal representation through these Services. Articles, newsletters, research, sample materials, commentary, and responses to general questions are for informational and educational purposes. They are not individualized legal, tax, insurance, or financial advice.

Reading our content, becoming a member, making a payment, or contacting us does not create an attorney–client relationship. An attorney’s participation in an article, discussion, or NCLI initiative does not by itself create that relationship either. Any professional engagement must be arranged separately with the relevant professional.

Laws and their application vary by jurisdiction and change over time. Content may contain errors or become outdated. Consult a qualified attorney in the appropriate jurisdiction about your own circumstances, particularly deadlines, claims, settlement decisions, or proposed business policies. Contacting NCLI does not suspend a filing deadline or create an obligation for NCLI to respond before one expires.

Do not send privileged, confidential, or sensitive case materials through ordinary email or general contact forms. Communications with NCLI are not automatically protected by attorney–client privilege.

4. Memberships and financial support

Free membership is available as described on our signup pages. Choosing a paid membership or support level is voluntary. The price, billing frequency, and any included benefits will be displayed before purchase. We will not convert a free membership into a paid membership without your authorization.

Membership payments help support NCLI’s operations and mission. Unless we expressly accept a specific restriction in writing, payments are not earmarked for a particular case, legislative proposal, individual, or project.

Membership does not purchase legal services, insurance, indemnification, legal defense, or a promise that NCLI will investigate or intervene in a particular matter. We do not guarantee the passage of legislation, reduced insurance costs, fewer claims, media coverage, or any other particular result.

Support payments do not entitle you to control NCLI’s editorial decisions, research conclusions, hiring, spending, or advocacy positions. Planned initiatives may change in scope or timing; descriptions of goals are not guarantees of delivery.

Tax treatment. NCLI does not represent membership fees or support payments as tax-deductible charitable donations. Do not treat them as charitable contributions based solely on our mission or use of the word “support.” Consult your tax adviser about any other tax treatment, including restrictions that may apply to advocacy-related expenses.

5. Billing and automatic renewal

A paid membership begins when you complete the purchase and automatically renews for successive billing periods of the same length, monthly or annually as selected at checkout, until you cancel.

Before you authorize payment, checkout will display your selected recurring amount, applicable taxes or mandatory charges, billing frequency, and cancellation terms. By separately authorizing recurring billing at checkout, you authorize NCLI and its payment processor to charge your selected payment method for that amount at the start of each billing period, monthly or annually as you selected, until cancellation.

We use Stripe to process payments. You must be authorized to use the payment method you provide. Your billing confirmation or account billing page will identify the applicable renewal schedule. We will provide a confirmation containing the subscription terms and cancellation information.

If a payment fails, we may notify you and our processor may retry the authorized payment. We may suspend paid benefits while payment remains unresolved. Canceling renewal prevents charges for future periods; it does not erase a valid payment obligation already incurred. We will not impose undisclosed collection or late-payment fees.

We will provide renewal reminders and other subscription notices when required by applicable law. A promotional rate, if offered, will identify its duration and the amount payable afterward before you enroll. A free trial will not become a paid subscription without the disclosures and authorization required by law.

Annual memberships. An annual membership is billed once for a twelve-month period and renews for another twelve months unless you cancel before the renewal date. Before each annual renewal, we will send a reminder, as required by applicable law, stating the renewal date, the amount to be charged, and how to cancel.

6. Cancellation and refunds

Canceling your paid membership

You may cancel automatic renewal at any time through the online subscription or billing controls accessible from your NCLI subscriber account. You may also email [email protected] with a clear cancellation request and the email address associated with your membership. We may request information reasonably needed to locate the account, but you do not need to explain why you are canceling.

Cancel before the next scheduled charge to avoid that renewal. Online cancellation takes effect when you complete the cancellation process. We treat an email cancellation as effective when received, subject to reasonable account identification; internal processing delays will not justify a later renewal charge. We will provide confirmation.

Unless you request immediate account closure or lawful suspension is necessary, cancellation ends future renewals and any paid benefits continue through the period already paid for. You may remain a free subscriber if you choose.

If you want to stop both billing and newsletters, make both choices clear. Do not assume that changing email preferences alone has canceled recurring billing; check your subscription status or contact us. Where a platform action cancels both, we will honor that action.

Payments already processed

Except as required by law or expressly stated in these Terms or an offer, payments already processed are nonrefundable. This applies to both monthly and annual memberships. We do not ordinarily issue prorated refunds for unused portions of a billing period, including the remaining months of an annual membership, or because you did not use the Services.

This policy does not prevent correction of duplicate charges, charges made in error, or charges made after an effective cancellation. It also does not limit any rights concerning unauthorized transactions, legally required refunds, or remedies for NCLI’s failure to provide services as promised.

We may make a discretionary refund in an individual case without changing the general policy. Contact us with billing concerns so we can investigate. You are not required to contact us first when doing so would limit your right to dispute a transaction with your payment provider.

7. Changes to prices and Services

We may change content, features, membership offers, or prices prospectively. We will not apply a price increase retroactively to a period already paid for.

For an existing paid membership, we will give advance notice of a proposed price increase and a clear opportunity to cancel before it takes effect, following all applicable notice and consent requirements. We will obtain renewed consent where required. An increase will not take effect merely because we edited a website price.

If we materially reduce an expressly promised paid benefit during a prepaid period, we will provide an appropriate remedy, such as continuing the benefit for that period or offering a proportionate refund. If we discontinue your paid membership without your material breach, we will stop future renewals and refund the unused prepaid portion.

We may temporarily interrupt access for maintenance, security, or circumstances beyond reasonable control. Such interruptions do not remove any remedy you have under applicable law.

8. Acceptable use

Use the Services lawfully and respect the rights of other people. You must not:

  • Impersonate another person, submit fraudulent information, or use a payment method without authorization.

  • Threaten or harass others, publish unlawful defamatory statements, or disclose another person’s private information without a lawful basis.

  • Upload malicious code, attack the Services, bypass security measures, or access accounts or nonpublic information without authorization.

  • Interfere with the Services through abusive traffic, spam, or automated activity.

  • Extract personal information from the Services for unsolicited marketing, harassment, or another unlawful purpose.

  • Reproduce or distribute protected content in violation of intellectual property rights, or falsely imply that NCLI endorses you.

  • Use NCLI’s name, membership, or materials as authority to engage in unlawful discrimination, threats, or other unlawful conduct.

Nothing in these Terms restricts honest reviews, lawful criticism, protected whistleblowing, communications with regulators, or other legally protected activity. Disagreement with NCLI is not itself a violation.

9. Intellectual property and permitted sharing

NCLI or its licensors own the rights in original website content, newsletters, graphics, branding, and other protected materials, except for content identified as belonging to others. Facts, public-domain materials, and rights belonging to third parties remain subject to their applicable legal status.

You may access and use the Services for your personal use or internal business purposes. You may share links to publicly available NCLI content and quote reasonable excerpts with attribution and a link, subject to applicable copyright law. Statutory rights, including fair use, remain unaffected.

Without permission or another lawful basis, you may not republish complete articles, sell our materials, remove ownership notices, or use our branding to suggest sponsorship or affiliation. Contact us for reprint or brand-use permission.

“Member” status does not authorize you to speak for NCLI or use its logo as an endorsement of your business.

10. Messages and other user submissions

You retain ownership of the original material you send us. By sending an inquiry, feedback, or another permitted submission, you authorize us to receive, store, review, and use it to respond to you and address the purpose for which you provided it, consistent with our Privacy Policy.

This permission does not authorize us to publish private correspondence, identify you as a public supporter, or use your name or story as a testimonial without separate permission.

If we enable public comments, material you intentionally post publicly may be visible to others. You grant us a nonexclusive, royalty-free license to host, display, and technically format that material as needed to operate that public feature. This does not transfer ownership of your content or authorize unrelated advertising use of your identity. We may moderate material that violates these Terms or remove a feature, subject to applicable law.

Only provide material you are authorized to submit. Do not submit confidential legal files or personal information about other people through features not intended for that purpose. These provisions do not establish terms for the future claims database or attorney application process.

11. Privacy and communications

Our Privacy Policy explains how we collect, use, disclose, and retain personal information and how to exercise privacy choices. It is available through the Privacy Policy link on NCLI.com.

Acceptance of these Terms does not, by itself, constitute consent to optional advertising cookies, every form of marketing, or automated marketing calls and texts. We obtain separate consent where required.

You may unsubscribe from marketing emails using the instructions in those messages. You may opt out of marketing texts or calls through the methods provided, including reasonable methods recognized by applicable law. We may still send necessary nonmarketing account or transaction communications where permitted.

If we launch a text messaging program, additional enrollment disclosures and program terms will apply. Consent to marketing calls or texts is not a condition of purchasing a membership.

12. Third parties and external links

We use providers such as Beehiiv and Stripe to support the Services. We may also link to external articles, organizations, professional resources, or other websites.

A link or reference does not necessarily constitute an endorsement. Third parties control their own websites, services, and independent conduct, and their applicable terms may govern your direct interactions with them.

We remain responsible for obligations that applicable law places on NCLI. Using a service provider does not allow us to avoid our own payment, cancellation, privacy, or other legal duties.

13. Suspension and termination

We may restrict access or terminate an account when reasonably necessary to address a material breach of these Terms, fraud, a security threat, unlawful activity, or a legal obligation. Where practicable and appropriate, we will give notice and an opportunity to resolve a correctable issue. Immediate action may be necessary to protect people or the Services.

We will stop future recurring charges when we terminate a paid membership. Any entitlement to a refund will be determined under Section 6, Section 7, and applicable law. These Terms do not authorize automatic forfeiture of prepaid fees as a penalty.

You may stop using the Services, cancel a paid membership, or request account closure. Deleting information and retaining required business records are addressed in our Privacy Policy.

Provisions that reasonably need to continue after termination—including payment obligations already incurred, intellectual property provisions, liability limitations, and dispute provisions—remain effective to the extent permitted by law.

14. Disclaimers

To the extent permitted by applicable law, the informational Services are provided “as is” and “as available.” We do not promise uninterrupted availability or that every statement, source, or analysis will be complete, current, or error-free.

To the extent legally permitted, we disclaim implied warranties of merchantability, fitness for a particular purpose, and noninfringement. These disclaimers do not override an express promise made in your purchase terms, excuse deceptive statements, or eliminate mandatory consumer protections.

Opinions and advocacy proposals reflect the views expressed when published. References to allegations, claims, or lawsuits should not be treated as findings of wrongdoing unless expressly identified as established findings. You remain responsible for evaluating how general information applies to your circumstances.

15. Limitations of liability

To the fullest extent permitted by applicable law, NCLI and its officers, employees, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the Services or these Terms, including lost profits or business opportunities.

Subject to the exceptions below, their aggregate liability arising from the Services or these Terms will not exceed the greater of $100 or the amount you paid NCLI for the Services during the twelve months before the event giving rise to the claim.

These limitations do not exclude or limit liability for fraud, intentional misconduct, gross negligence, death or personal injury caused by negligence where exclusion is prohibited, or any other liability that applicable law does not permit us to limit. They do not cap refunds expressly due under these Terms or eliminate statutory remedies that cannot lawfully be waived.

Some jurisdictions do not permit particular exclusions or limitations. In those jurisdictions, the affected provision applies only to the extent permitted. These Terms do not require you to release an existing claim.

16. Disputes and applicable law

If you have a concern, you may contact [email protected] so we can try to resolve it. Informal contact is encouraged but is not a prerequisite to bringing a claim, seeking urgent relief, meeting a deadline, or contacting a regulator.

Applicable federal and state law governs the parties’ rights and obligations. A dispute may be brought in a court with jurisdiction and proper venue under applicable law. Mandatory consumer protections remain applicable.

These Terms do not impose mandatory arbitration, waive jury-trial rights, or require claims to be brought individually instead of through an otherwise lawful collective proceeding. Each party’s responsibility for legal fees is determined by applicable law or a separate valid agreement, not an automatic fee-shifting provision in these Terms.

17. Changes to these Terms

We may revise these Terms as the Services or legal requirements change. We will post the revised version with an updated effective date.

For material changes affecting existing members, we will provide reasonable advance notice, ordinarily at least 30 days, unless a shorter period is necessary for a legal or security reason or a longer or differently timed notice is required by law. We will obtain affirmative acceptance when legally required.

Changes apply prospectively. They will not retroactively alter an accrued claim or authorize a charge you did not agree to. Price and subscription changes remain subject to Section 7. If you do not accept a material change, you may cancel future renewal and stop using the affected Services; accrued rights and any applicable refund rights remain intact.

18. General provisions

These Terms and any specific offer terms you accept form the agreement concerning the Services. They do not displace mandatory legal rights or an express written commitment we made to you.

If a provision is unenforceable, the remaining provisions remain effective to the extent the agreement can lawfully operate without it. A failure to enforce a provision on one occasion is not a waiver of it.

You may not transfer a paid membership to another person without our agreement unless the offer expressly permits it. NCLI may transfer its contractual rights and obligations as part of a lawful business transfer, provided doing so does not reduce your accrued rights or excuse obligations already owed to you.

Electronic records and notices may be used where legally permitted. If a law requires a particular consent, notice format, or delivery method, we will follow that requirement. These Terms do not appoint your account as an exclusive channel for notices required elsewhere.
